These Terms of Service govern your access to and use of Samnord, including our website, application, and related services. Samnord is provided by [LEGAL COMPANY NAME], [COMPANY REGISTRATION NUMBER], [ADDRESS] ("Samnord", "we", "us", or "our").
By creating an account, accepting an invitation, or using Samnord, you agree to these terms. If you use Samnord on behalf of an organisation, you confirm that you are authorised to accept these terms for that organisation.
1. The Service
Samnord is a software-as-a-service platform for managing work, safety-related documentation, suppliers, sites, tasks, risk assessments, and related operational information.
We may improve, change, or discontinue parts of the service over time. We will not materially reduce the core functionality of a paid service during an active subscription period without reasonable notice.
2. Accounts and Access
You must provide accurate account information and keep your login details secure. You are responsible for activity that happens through your account unless the activity was caused by our failure to protect the service.
You must notify us without undue delay if you suspect unauthorised access to your account or organisation.
3. Customer Data
You retain ownership of the data, files, text, records, and other content that you or your users submit to Samnord ("Customer Data"). You grant us the rights needed to host, process, transmit, display, back up, and secure Customer Data for the purpose of providing the service.
You are responsible for ensuring that Customer Data is lawful, accurate, and appropriate for use in the service. You must not upload content that is illegal, infringes third-party rights, contains malicious code, or is intended to harm the service or other users.
4. Acceptable Use
You must not misuse Samnord. This includes attempting to gain unauthorised access, disrupting the service, reverse engineering the service except where permitted by mandatory law, using the service to send spam or malware, or using the service in a way that violates applicable law.
We may suspend access if we reasonably believe that use of the service creates a security risk, violates these terms, or may expose us, you, another customer, or a third party to liability. Where reasonable, we will give notice before suspending access.
5. Subscriptions, Fees, and Payment
Paid plans, billing periods, prices, and payment terms are described in the order form, subscription page, or other written agreement between you and us.
Fees are exclusive of VAT and other taxes unless stated otherwise. You are responsible for applicable taxes except for taxes based on our income.
If payment is overdue, we may suspend or downgrade access after giving reasonable notice, unless the overdue amount is being disputed in good faith.
6. Trial and Beta Features
We may offer trial, pilot, beta, or preview features. These features may be changed, limited, or discontinued at any time and may be provided without the same availability or support commitments as paid production features.
7. Confidentiality
Each party may receive confidential information from the other. Confidential information must be protected with reasonable care and used only for the purpose of providing or using Samnord. This does not apply to information that is public, already known, independently developed, or lawfully received from another source.
8. Privacy and Data Protection
Our Privacy Policy explains how we process personal data. Where we process personal data on behalf of your organisation as a processor, our data processing terms or data processing agreement apply.
You are responsible for ensuring that your organisation has a lawful basis for submitting personal data to Samnord and for providing any required notices to your users, workers, suppliers, or other data subjects.
9. Intellectual Property
We and our licensors retain all rights in Samnord, including software, design, text, trademarks, and documentation. These terms do not transfer any ownership rights to you.
You may use Samnord only as allowed by these terms and your subscription. You may not copy, modify, distribute, sell, lease, or provide access to Samnord except as expressly permitted by us.
10. Third-Party Services
Samnord may integrate with or link to third-party services. We are not responsible for third-party services, content, terms, or privacy practices unless expressly stated in a written agreement with you.
11. Availability and Support
We aim to keep Samnord available and secure, but we do not guarantee uninterrupted or error-free operation unless a separate service level agreement applies.
We may perform maintenance, updates, and security work that temporarily affects availability. Where practical, we will schedule maintenance to reduce disruption.
12. Compliance and Professional Responsibility
Samnord helps organise safety-related work and documentation, but it does not replace your organisation's legal, occupational safety, operational, or professional responsibilities. You remain responsible for decisions, approvals, compliance, and the accuracy of records created or managed through the service.
13. Warranties
We provide Samnord with reasonable skill and care. Except as expressly stated in these terms or required by mandatory law, the service is provided without warranties of any kind.
14. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect loss, loss of profit, loss of revenue, loss of goodwill, or loss of data, except where caused by wilful misconduct or where liability cannot be limited by law.
Our total liability for claims relating to the service is limited to the fees paid or payable by you for the service during the twelve months before the event giving rise to the claim, unless mandatory law requires otherwise.
15. Term and Termination
These terms apply while you use Samnord. Either party may terminate a subscription according to the applicable order form, subscription terms, or written agreement.
We may terminate or suspend access if you materially breach these terms and do not remedy the breach within a reasonable period after notice. We may terminate immediately if continued access would create a serious security, legal, or operational risk.
16. Export and Deletion of Data
During the subscription period, you may export Customer Data using available service features. After termination, we may retain Customer Data for a limited period to allow export, comply with law, resolve disputes, prevent abuse, and maintain backups. After that period, Customer Data may be deleted according to our retention procedures.
17. Changes to These Terms
We may update these terms from time to time. If changes are material, we will provide reasonable notice, for example by email, in-app notice, or posting on our website. Continued use after the effective date means that you accept the updated terms.
18. Governing Law and Disputes
These terms are governed by the laws of Sweden, unless mandatory consumer or local law provides otherwise. Disputes will be handled by the competent courts of Sweden, unless another venue is required by mandatory law or agreed in writing.
19. Language
These terms may be available in Swedish and English. If there is a conflict between language versions, the Swedish version controls unless mandatory law requires otherwise.
20. Contact
